ORDER - Plaintiff filed a Complaint (Docket No.1 ) against Defendants Pfizer Inc. and Pharmacia & Upjohn Company LLC ("Upjohn") on the basis of diversity jurisdiction. Plaintiff did not, however, properly allege diversity jurisdiction, and the Court ordered Plaintiff to file an Amended Complaint. (Docket No.8 ). In her Amended Complaint, Plaintiff states Upjohn's place of incorporation and principal place of business, and notes that "[a]ll members of Upjohn are citizens of the State of Michigan." (Docket No. 9 at ECF p. 3). First, Defendant Upjohn is not a corporation, it is an LLC, and Plaintiff's diversity allegations should fully reflect that fact. Second, Plaintiff does not list Upjohn's members respectively. Thus, Plaintiff's diversity allegations are once again insufficient. For these reasons, the Court ORDERS Plaintiff to file a Second Amended Complaint by December 12, 2024, which addresses the issues outlined in this Order and properly alleges a basis for this Court's diversity jurisdiction. Defendants are cautioned, however, that when they do respond to the Second Amended Complaint, to the extent that they deny any of Plaintiffs' jurisdictional allegations or state that they do not have sufficient information to respond to those allegations, the Court will require the parties to conduct whatever investigation is necessary and file a joint jurisdictional statement confirming that all parties are in agreement with the underlying jurisdictional allegations before the litigation moves forward.
